License Agreement

TERMS AND CONDITIONS
Marketing and Advertising:
It is the sole responsibility of the Licensee to market, advertise, sell tickets, and fill their classes. Eclipse Holistic Living LLC (Licensor) is not responsible for attendance quotas.
Licensor may participate in any Licensee functions free of charge and maintains access to the premises at all times.
Payment Terms:
Payment is due immediately upon signing this agreement.
Once signed, no refunds will be issued for any reason, including but not limited to participant attendance, illness, weather, or class/session cancellations by the Licensee.
Licensed Space:
The space licensed for use will be determined by Licensor and is located at 30E Hebron Avenue, Second Floor, Suite L, Glastonbury, CT 06033 (the “Property”).
Use of the space is limited to holistic health counseling, classes, or similar purposes.
Licensee is responsible for providing all necessary materials, supplies, and equipment for their classes, including cleaning supplies.
Insurance:
Licensee must maintain a general liability insurance policy of at least $1,000,000 and provide a certificate of insurance naming Licensor and Derr Family Properties LLC ("Prime Licensor") as additional insureds.
The Licensee’s insurance must be primary to any insurance coverage held by the Licensor.
Maximum Occupancy:
The maximum number of persons allowed in the space at any given time is thirty-five (35), including Licensee, their employees, and guests.
Damage to Property:
Licensee is responsible for any damages to the Property caused by their use. Alterations or improvements to the space are not permitted.
Condition and Cleanliness:
Licensee must report any unsafe or inoperative equipment immediately to Licensor.
Licensee is responsible for leaving the space clean and in the condition it was provided.
Assignment and Sub-License:
Licensee may not assign this agreement or sub-license the space.
Default:
If Licensee fails to pay fees or violates any terms of this agreement, Licensor may terminate this license immediately. Unpaid fees will be pursued as liquidated damages.
Compliance:
Licensee must comply with all local, state, and federal laws and any rules set forth by Licensor (attached as Exhibit B).
Personal Property:
Licensee’s personal property is stored at the premises at their own risk.
Notices:
All notices must be sent via first-class mail. Notices to Licensor should be directed to Eclipse Holistic Living LLC at the Property address. Notices to Licensee should be directed to the address provided in this agreement.
Cancellation Policy:
Licensee may cancel with at least 72 hours' written notice. A $200 cancellation fee applies.
If Licensor cancels due to maintenance or inclement weather, a mutually agreeable reschedule date will be offered. If no date is agreed upon, a full refund will be issued.
Miscellaneous:
This agreement is governed by the laws of Connecticut. Any disputes will be resolved in a court of competent jurisdiction within the state.
Binding Effect:
The obligations in this agreement are binding upon the heirs, successors, and assigns of the parties.
